Terms of Service

Terms governing access to SAMAIO event-planning, host workspace, guest registry, and professional coordination services.

1. Introduction and Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you and SAMAIO (“SAMAIO,” “we,” “us,” or “our”). By creating an account, accessing, or using the SAMAIO web application, host planner, guest RSVP portals, or related services (collectively, the “Services”), you agree to be bound by these Terms.

2. Definitions

“Customer” refers to the individual couple, host, or professional coordination agency subscribing to or using the Services. “Customer Data” refers to all logistics data, budget records, vendor contracts, guest lists, seating arrangements, and workspace configurations entered into SAMAIO by Customer. “Guest” refers to an attendee responding to an RSVP invitation link generated by Customer.

3. Software-Only and Event-Responsibility Disclaimer

SAMAIO is software, not an event professional. SAMAIO provides planning, coordination, organizational, and communication tools. SAMAIO is not a wedding planner, event coordinator, venue, caterer, vendor, travel provider, legal adviser, financial adviser, medical adviser, accessibility consultant, or emergency service. Customers remain responsible for event decisions, vendor selection, guest communications, timelines, budgets, seating arrangements, dietary requirements, accessibility arrangements, and event-day operations.

SAMAIO does not guarantee that an event will occur successfully, that vendors or guests will perform as expected, that guests will attend, that schedules will be followed, or that information displayed in the Services will always be accurate or complete.

4. Event Countdown Meaning

“Any days remaining, days to go, or similar countdown shown in an Event Workspace refers strictly to the scheduled event date supplied by the Customer. It is not a trial, subscription, license, or account-expiration timer.”

Account status, paid subscription tier, licensing key validation, cloud synchronization status, and event countdown timers operate independently.

5. Free Trial and Paid Subscriptions

SAMAIO may offer eligible users a free three-day trial of the SAMAIO Host Planner. No payment will be collected during the trial unless the checkout page clearly states otherwise.

Before the trial begins, the user will be shown the applicable Paid Plan price, billing interval, currency, automatic-renewal terms, first-charge date, and cancellation instructions. The user must actively authorize the Paid Subscription through the applicable checkout process before any payment is collected.

If the user does not start or authorize a Paid Subscription before the trial ends, the user will not be charged. Access to paid or trial features may end when the trial expires.

6. Billing, Cancellation, and Refund Policy

If the user authorizes a Paid Subscription, the applicable subscription fee will be charged through Lemon Squeezy, which acts as the merchant of record for the transaction. Paid subscriptions renew for the selected billing interval unless canceled before the next renewal date.

All subscription payments are final and non-refundable after processing, including payments for unused time, unused features, partial months, or failure to use the SAMAIO Host Planner, except where a refund is required by applicable law or issued or required by Lemon Squeezy under its applicable policies.

Canceling a subscription stops future renewals but does not create a refund or automatically terminate the already-paid billing period. Unless otherwise required by law or stated at checkout, the user may continue using paid features until the end of the current paid billing period, subject to these Terms.

Lemon Squeezy may process payment, tax, refund, chargeback, and transaction matters as the merchant of record. Users should review the Lemon Squeezy Buyer Terms before completing a purchase: https://www.lemonsqueezy.com/buyer-terms.

Nothing in this section limits any consumer, payment, privacy, or other right that cannot legally be waived.

Refund Policy: Processed subscription payments are generally final and non-refundable, subject to applicable law and Lemon Squeezy policies.

7. Service Availability and Uptime

The Services are provided on an ‘as available’ basis. SAMAIO does not guarantee uninterrupted, continuous, timely, secure, or error-free access. Availability may be affected by maintenance, telecommunications failures, hosting providers, third-party services, device conditions, browser settings, power outages, or circumstances outside SAMAIO’s reasonable control.

8. Offline-First and Synchronization Disclaimer

Offline functionality is intended to improve resilience but does not guarantee that every feature will operate without an internet connection. Email delivery, payment processing, authentication, external integrations, remote collaboration, notifications, and other third-party functions may require connectivity. Offline changes may be delayed, rejected, duplicated, or affected by conflicts when synchronization resumes. Customers are responsible for reviewing synchronization status and maintaining appropriate exports of critical event information.

9. Backup and Data-Loss Disclaimer

SAMAIO maintains operational safeguards designed to protect Customer Data, but no backup or recovery system guarantees that data will never be lost, corrupted, delayed, or unrecoverable. Customers are responsible for maintaining independent exports or backups of critical event, guest, budget, seating, and timeline information.

10. Customer-Data Accuracy Disclaimer

Customers are responsible for the accuracy, completeness, legality, and timeliness of information entered, imported, exported, shared, or used through the Services. SAMAIO does not independently verify guest identities, RSVP responses, dietary information, accessibility requirements, vendor details, budgets, schedules, or seating assignments.

11. Guest-Data Responsibility

Customers are responsible for having the legal right and any necessary notices, permissions, or consents required to collect, upload, use, disclose, and manage Guest Data through the Services. Customers must respond appropriately to guest requests concerning their personal information and must not upload information they are not authorized to provide.

Note for Coordinators & Business Customers: Professional event planners and business accounts processing guest personal data on behalf of third parties may require a separate Data Processing Addendum (DPA). Contact support@samaio.app to request a DPA.

12. Seating, Dietary, Accessibility, and Safety Disclaimer

Seating suggestions, guest-group classifications, dietary labels, accessibility information, and event recommendations are organizational aids only. Customers must independently verify all seating, dietary, accessibility, relationship, health, and safety information before relying on it. SAMAIO does not guarantee that a seating arrangement or recommendation is appropriate, safe, accessible, or suitable for any guest.

13. AI-Assisted Features

AI-assisted features may produce incomplete, inaccurate, outdated, or unsuitable suggestions. AI outputs are not professional advice and must be reviewed and approved by a human before use. Customers remain solely responsible for decisions based on AI outputs, including seating, guest grouping, timelines, event text, and operational recommendations. SAMAIO does not guarantee that AI outputs are unique, accurate, or free from errors.

14. Third-Party Provider Disclaimer

The Services may depend on third-party providers, including hosting (Cloudflare Pages / OpenNext), database (Supabase / Prisma PostgreSQL), email delivery (Resend), payment processing (LemonSqueezy), and authentication providers. SAMAIO does not control third-party services and is not responsible for their availability, security, accuracy, policies, acts, omissions, or changes. Third-party services may impose their own terms, limits, fees, and privacy practices.

15. Email, RSVP, and Invitation Delivery

SAMAIO does not guarantee that invitations, RSVP links, email messages, notifications, or reminders will be delivered, opened, received, or displayed correctly. Delivery may be affected by recipient settings, spam filters, invalid addresses, email providers, rate limits, outages, or other third-party controls. Customers are responsible for confirming important guest communications through appropriate channels.

16. Browser, Device, and Local-Storage Disclaimer

Some Services depend on browser features, device storage, permissions, operating-system behavior, battery availability, and device security. SAMAIO does not guarantee that local storage, IndexedDB, service-worker caches, browser permissions, or offline data will remain available after device loss, browser updates, private-browsing sessions, storage clearing, device reset, or actions by the device owner or other users.

17. Security Disclaimer

SAMAIO uses reasonable safeguards designed to protect information (including encryption in transit and at rest), but no system, network, device, or transmission method is completely secure. SAMAIO does not guarantee that the Services will be immune from unauthorized access, malware, vulnerabilities, interception, or security incidents. Customers are responsible for protecting credentials, access codes, invitation links, devices, and Authorized User permissions.

18. Export and Data-Format Disclaimer

Export tools are provided for convenience and may not include every field, attachment, historical version, local-only change, or third-party record. Export formats, availability, and supported fields may change. Customers are responsible for reviewing exports and confirming that they contain the information needed for their records.

19. Changing Features and Beta Functionality

SAMAIO may introduce, modify, suspend, or discontinue features, integrations, plan limits, or experimental functionality. Beta or preview features may contain errors, have limited support, and may not be suitable for critical event operations.

20. No Professional-Advice Disclaimer

Content, templates, suggestions, calculations, labels, and recommendations provided through SAMAIO are for organizational and informational purposes only. They are not legal, financial, tax, medical, dietary-safety, accessibility, travel, or professional event-management advice.

21. Maintenance and Emergency Changes

SAMAIO may temporarily restrict or suspend access to perform maintenance, security updates, emergency repairs, legal compliance, or changes required by third-party providers. Where reasonably practical, SAMAIO will provide advance notice of planned maintenance.

22. Customer Data Ownership and Acceptable Use

Customer retains all ownership rights in Customer Data. Customer grants SAMAIO a limited, non-exclusive right to host, store, reproduce, transmit, format, synchronize, secure, and process Customer Data solely to provide the Services. You agree not to misuse the Services, attempt unauthorized access, reverse-engineer platform security, send unsolicited emails, or upload malicious content.

23. Intellectual Property

SAMAIO, the SAMAIO logo, software code, design tokens, CAD engine interfaces, and editorial workspace layouts are the intellectual property of SAMAIO and its licensors.

24. Suspension, Termination, and Data Transition

We reserve the right to suspend or terminate accounts that breach these Terms. Upon account cancellation, Customers have a 30-day grace period to export workspace data via CSV/JSON before active database records are purged.

25. Warranties and Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

26. Indemnification

You agree to indemnify, defend, and hold harmless SAMAIO and its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Customer Data or Guest Data; (b) unauthorized or unlawful guest-data collection; (c) Customer’s event decisions or event operations; (d) unauthorized communications sent through the Services; (e) violation of these Terms; (f) misuse of the Services; or (g) infringement of third-party rights caused by Customer materials.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMAIO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY CUSTOMER TO SAMAIO FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100 USD).

IN NO EVENT SHALL SAMAIO BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, EVENT REVENUE, DATA, OR GOODWILL. Nothing in these Terms limits or excludes liability that cannot be legally limited under applicable consumer protection law.

28. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
